Business Disclosure (Internet Transactions Act, RA 11967)

In accordance with the Internet Transactions Act of 2023 (Republic Act No. 11967), we disclose the following information about the operator of this Service:

  • Service provider: OrderEase, a QR code ordering and point-of-sale SaaS platform for restaurants.
  • Contact: support@orderease.com.ph
  • Nature of business: subscription software-as-a-service for restaurant ordering and payments.
  • Complaint and redress mechanism: complaints may be submitted to support@orderease.com.ph and will be acknowledged and handled through our internal complaints process. Unresolved consumer complaints may be escalated to the appropriate Philippine government agency, including the Department of Trade and Industry (DTI).

1. Description of Service

OrderEase provides a restaurant QR code ordering and point-of-sale SaaS platform (the "Service"), including:

  • Merchant admin panel: menu management, table QR code generation, order management, and analytics.
  • Customer ordering interface: ordering and checkout via QR code scanning.
  • Real-time notification system: push notifications for order status updates.
  • System administrator panel: account and subscription management.

Please read these Terms of Service carefully before using the Service. Your continued use of the Service constitutes your agreement to all provisions of these Terms.

2. Account Registration and Eligibility

To register for the Service, you must:

  • Have full legal capacity to enter into a binding contract under Philippine law.
  • Provide accurate, complete, and truthful account information.
  • Maintain the confidentiality of your account password and not share or transfer the account.
  • Be responsible for all activities that occur under your account.

If you discover any unauthorized use of your account, please notify us immediately.

3. Merchant Responsibilities

As a merchant user of the Service, you agree to:

  • Ensure that the menu data you upload (name, price, description, images) is accurate and lawful.
  • Not upload images or content that infringes the intellectual property rights of others.
  • Ensure that your restaurant business complies with Philippine laws, including business registration, tax, and food safety requirements.
  • Provide accurate prices and product information to consumers and avoid any false, deceptive, or misleading representation or advertising, consistent with the Consumer Act of the Philippines (RA 7394).
  • Assume full responsibility for fulfilling orders accepted through the platform and for resolving disputes with your own customers.
  • Properly manage menu inventory to avoid customers ordering items that cannot be provided.
  • Not use the Service for any unlawful activities.

4. Payment Terms

The Service is offered on a subscription basis. The payment terms are as follows:

4.1 Subscription Plans

The Service offers multiple subscription plans; please refer to the pricing page for current details. All features are available free of charge during the trial period.

4.2 Automatic Renewal

Subscription plans will automatically renew upon expiration unless you cancel your subscription before the expiration date.

4.3 Refund Policy

Except as otherwise required by law, subscription fees are non-refundable. Nothing in these Terms limits any non-waivable rights you may have under the Consumer Act of the Philippines (RA 7394). If you have any questions about a charge, please contact us promptly.

4.4 Payment Methods

Payments are processed through PayMongo and supported methods, including GCash, Maya, and credit cards. Payment processing is subject to the terms of the relevant payment provider.

5. Service Availability

We strive to provide a stable service with a target availability of 99.5%. However, the following circumstances may cause service interruptions:

  • Scheduled system maintenance (typically performed during off-peak hours).
  • Force majeure events (natural disasters, network infrastructure issues, etc.).
  • Disruptions or errors in third-party services (Cloudinary, PayMongo, etc.).

Major maintenance will be announced in advance, and emergency maintenance will be communicated as promptly as possible.

6. Account Termination

The following circumstances may result in account termination:

6.1 Termination by You

You may cancel your subscription and close your account at any time. Upon closure, your data will be retained only for the period required by law and then securely deleted.

6.2 Termination by Us

If you violate these Terms of Service or engage in fraudulent, abusive, or similar conduct, we reserve the right to terminate your account, subject to applicable law.

6.3 Subscription Expiration

If your subscription expires without renewal, your account will enter read-only mode. If the subscription remains unrenewed after a grace period, the account will be suspended.

7. Intellectual Property

All software, design, trademarks, and content of the Service (excluding user-uploaded content) are the property of OrderEase and are protected by intellectual property law. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

You retain ownership of content you upload to the Service (such as menu images); however, you grant us the necessary license to use such content as required to provide the Service.

8. Disclaimer and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, and without limiting any non-waivable consumer rights you may have under Philippine law, we shall not be liable for:

  • Any indirect, incidental, or consequential losses arising from the use of the Service.
  • Interruptions or errors in third-party services (Cloudinary, PayMongo, etc.).
  • Loss of data (please back up important data regularly on your own).
  • Loss of business opportunities or reduction in profits.

Nothing in this section excludes or limits liability where such exclusion or limitation is not permitted under Philippine law, including liability for fraud, willful misconduct, or gross negligence, or any non-waivable rights of consumers.

9. Changes to the Terms

We reserve the right to modify these Terms of Service. Material changes will be communicated to you by email or in-service notice in advance of their effective date. Your continued use of the Service following changes to the Terms constitutes your acceptance of the revised Terms.

10. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Subject to any non-waivable rights of consumers to bring proceedings in their place of residence, any disputes arising out of or in connection with these Terms or the Service shall be submitted to the proper courts of Makati City, Metro Manila.
